PUBLIC OFFER AGREEMENT
- General Provisions and Definitions
1.1. Individual entrepreneur Karine Martirosovna Kocharyan provides information and consultancy
services through the Institute of Neurosomatic Approaches to Trauma and Dissociation
Therapy by organising educational projects in the field of psychology, psychotherapy for
psychological trauma, and by conducting seminars, modules, lectures, training sessions, webinars,

collectively or individually referred to as the ‘Website’), and also provides digital information
services for the supply of digital content, enabling the consumer to process, store and
access data in digital form, including access to certain paid digital content in exchange for
payment (hereinafter referred to as the ‘Services’). The provision of services is governed
by the terms of this public offer agreement (hereinafter referred to as the Terms, the
Agreement). Before placing an order for services, please read the terms of the agreement
carefully and ensure that you, as a consumer, understand them.
1.2. If you do not understand the Terms of the Agreement, if you do not agree with
these Terms, or do not accept any part of them, then do not order the Services offered on
the Website.
1.3. Digital content refers to any seminars, lectures, training sessions, masterclasses,
webinars, Zoom broadcasts, video tutorials, online courses, video instructions in electronic
(digital) form, and any data in digital form, including, but not limited to, Zoom broadcasts
and/or Telegram groups, supplied not on a physical medium, which are offered on the
Website by the e-commerce entity under the trade name ‘Institute of Neurosomatic
Approaches to Trauma and Dissociation Therapy’
1.4. By ordering the Service (in particular, by placing an order and paying for the
Services), you, the consumer, enter into a distance contract with the e-commerce operator
providing the paid Services, subject to the terms of the public offer.
1.5. By paying for the Services, you, the consumer, give your prior explicit consent to
the commencement of the supply of Digital Content during the withdrawal period (before
the expiry of the 14-day withdrawal period) and thereby waive your right to withdraw from
the contract by giving such prior consent.
1.6. A distance contract may be concluded by a natural person who has reached the
age of 18, possesses full legal capacity, has agreed to the Terms of the contract and fully
assumes the obligations arising from the provision of the Services and the conclusion of
this distance contract (hereinafter – the Consumer).
1.7. Sufficient evidence of the unconditional acceptance of the Terms and Conditions
of the public offer, the agreement by the parties on all essential terms, and the conclusion
of the Contract is the actual payment by the Consumer and the receipt of full payment for
the order by the E-commerce Entity.
1.8. The e-commerce entity providing information and consultancy services through the Institute of
Neurosomatic Approaches to Trauma and Dissociation Therapy / Institute of Neurosomatic
Approaches to Trauma and Dissociation Therapy and paid digital services is the sole trader

1.9. Payments made for paid services are accepted by Karine Martirosovna
Kocharyan, a sole trader. For the provision of Services under the trade name ‘Institute of
Neurosomatic Approaches to Trauma and Dissociation Therapy’ and the receipt of
payment now and in the future, the e-commerce entity may engage other persons on a
contractual basis.
1.10. The Contract shall be deemed to have been performed in full by the Ecommerce Operator upon sending the Digital Content to the Consumer in a non-physical
format to the contact details (via email, telephone number, or messages on the personal
web page of anysocial network, via Telegram or any other messaging service) specified by
the Consumer in the order form on the Website, in the ‘Submit application and pay’ form, in
any other service order form, or in personal correspondence with the e-commerce operator
or its representative or manager.
1.11. Information regarding the Services, Digital Content, the terms of ordering them,
prices and any other information is dynamic. This means that the information may be
updated, amended and supplemented by the E-commerce Entity at any time without prior
notice to consumers.

an order, the consumer must familiarise themselves with this information. If further
information regarding the Services or Digital Content is required, the Consumer must
contact the e-commerce operator providing the services and obtain the necessary
information via remote communication channels prior to placing an order. - Ordering procedure
2.1. In order to place an order for the Services, the Customer must correctly fill in the
required information on the order form on the Website, or in the ‘Submit application and
pay’ form, or any other service order form and/or in email correspondence with the ecommerce operator or its manager, including, but not limited to, any messaging app such
as Telegram, Instagram Direct, Viber, WhatsApp, Facebook Messenger, a group, a
channel, online via Zoom, or by email.
2.2. When ordering the Service, the Consumer must provide all information marked
as mandatory in full, and the Consumer is responsible for the accuracy, correctness and
truthfulness of both the mandatory and any other information provided.
2.3. By entering information into the order form on the Website, or into the ‘Submit
application and pay’ form, or any other service order form, and/or by providing contact
information in private correspondence with the e-commerce entity or its manager, including
but not limited to via email, via any messenger such as Telegram, Instagram Direct, Viber,
WhatsApp, Facebook Messenger, a group, channel or Telegram bot, the Consumer
confirms that they have read the Terms of the Public Offer Agreement, and that all actions
they undertake will not contravene these Terms.
2.4. In the event that it is not possible to process and fulfil the Consumer’s Order due
to incorrectly stated or inaccurate information in the service order form or in personal
correspondence, the E-commerce Entity shall have the right to cancel such an Order. - Price and terms of payment
3.1. The price of information and advisory services provided under the trade name
‘Institute of Neurosomatic Approaches to Trauma and Dissociation Therapy’ and digital
services for the supply of digital content is indicated by the e-commerce operator on the
Website alongside the relevant service, or communicated by the e-commerce operator or
its manager in personal and/or electronic correspondence with the Consumer, including but
not limited to email, any messaging app such as Telegram, Instagram Direct, Viber,
WhatsApp, Facebook Messenger, a group or channel at the time of placing the order.
3.2. The e-commerce entity has the right to unilaterally change the price of the
Services without prior notice. However, the e-commerce entity does not have the right to
change the price of the ordered service after the Order has been paid for by the Consumer.
3.3. The cost of the service is payable in the national currency of Ukraine – the
hryvnia.
3.4. The Consumer may pay for the ordered Service by Visa or MasterCard at the
time of placing the Order or by transferring funds to the bank details provided by the e-
commerce operator or its manager for payment, including but not limited to via email, via
any messaging app such as Telegram, Instagram Direct, Viber, WhatsApp, Facebook
Messenger, group or channel.
3.5. Services must be paid for in full by the Consumer prior to the commencement of
the supply of digital content.
3.6. The provision of information and advisory services under the commercial name
‘Institute of Neurosomatic Approaches to Trauma and Dissociation Therapy’ and services
for the supply of digital content not on a physical medium shall commence upon receipt of
payment for the order. The Consumer gives their prior express consent to the
commencement of supply during the withdrawal period.
3.7. Before making payment for the order, the Consumer confirms that they have read
the section of these Terms and Conditions concerning the interoperability of digital content.
In the event that the Consumer pays for the supply of digital content and information and
advisory services under the trade name ‘Institute of Neurosomatic Approaches to Trauma
and Dissociation Therapy’ and is unable to join the Zoom broadcast or view it directly,
including but not limited to via Google Drive, for technical or any other reasons (arising on
the part of the Consumer), no refund of the paid funds shall be made, and the Digital
Content shall be deemed to have been duly received and the services provided.
3.8. The price of the Services may change regardless of whether they were on offer
or not. The e-commerce operator shall not reimburse the Consumer for the cost of the
services provided if, over time, these services become part of a promotion and their price is
significantly reduced. The Consumer understands and agrees that after a certain period,
the price of the Services may change, and a free or promotional service may become a
paid service and vice versa. - Procedure for the provision of digital content supply services and
information and advisory services
4.1. The provision of digital content and information and advisory services under the
trade name ‘Institute of Neurosomatic Approaches to Trauma and Dissociation Therapy’
shall commence within a reasonable time, without undue delay, from the moment full
prepayment for the order is received, by the E-commerce Entity or its representative
providing the Consumer with access to the Digital Content, including by sending, to the
Consumer’s contact details as specified by them in the order form on the Website, a link to
Zoom broadcasts and/or adding them to a Telegram group. The Digital Content is supplied
not on a physical medium.
4.2. The Consumer confirms and understands that the provision of digital content
delivery services and information and advisory services under the commercial name
‘Institute of Neurosomatic Approaches to Trauma and Dissociation Therapy’ / “Institute of
Neurosomatic Approaches to Trauma and Dissociation Therapy”, as well as the supply of
digital content, commences during the withdrawal period; consequently, the consumer
loses their right to withdraw from the contract.
4.3. Access to Digital Content is provided to the Consumer via the contact details (by
email, telephone number, Telegram, messages on a personal social media page, or any
other messaging apps, Instagram Direct, Viber, WhatsApp, Facebook Messenger, a group
or a channel) provided by the Consumer in the service order form on the Website or in
private correspondence with the e-commerce operator or its representative or manager.
Thus, from the moment the Consumer is granted access to download the digital content, it
is deemed that the E-commerce Entity has provided the Services in full.
4.4. The terms and dates for the provision of information and advisory services under
the commercial name ‘Institute of Neurosomatic Approaches to Trauma and Dissociation
Therapy’ / “Institute of Neurosomatic Approaches to Trauma and Dissociation Therapy”,
including the times and dates of Zoom broadcasts, seminars and lectures, are published in
the relevant sections of the Website.
4.5. The e-commerce operator shall make every effort to comply with the deadlines
for providing access to Digital Content; however, delays or postponements in the delivery
of Digital Content may occur due to unforeseeable circumstances beyond the e-commerce
operator’s control. - Return of digital content
5.1. By paying for the supply of digital content and information and advisory services
under the trade name ‘Institute of Neurosomatic Approaches to Trauma and Dissociation
Therapy’ the Consumer gives their prior explicit consent to the commencement of the
supply of digital content not on a tangible medium during the withdrawal period and, in
such a case, forfeits their right to withdraw from the contract; therefore, the Digital Content
is not subject to exchange or return.
5.2. The consumer loses the right to withdraw from the Contract once the ecommerce operator has performed the contract in full. - Interoperability of digital content
6.1. To access the Services, you must use devices that meet the interoperability
requirements for Digital Content. The Digital Content will function with hardware or
software identical to that with which Digital Content of this type is typically used.
6.2. Devices that support digital content include:
Phones and tablets running Android 5.0 Lollipop or later.
iPhone and iPad devices running iOS 11 or later.
Computers and laptops running Windows 7, Mac OS X 10.7 or Ubuntu 10 (or later
versions) and the latest versions of Google Chrome, Firefox or Safari.
6.3. An internet connection with a speed of at least 1 Mbps is required to view digital
content. To ensure digital content loads more quickly, close other tabs, web browsers and
applications.
6.4. The interoperability requirements for Digital Content may change from time to
time. To obtain further information regarding supported devices and technical
requirements, the Consumer must submit a written request to the E-commerce Entity’s
email address.
6.5. The Services and available Digital Content may not be available in all countries.
The Consumer agrees not to provide false, inaccurate or misleading information for the
purpose of posing as a resident of another country and undertakes not to attempt to
circumvent restrictions on access to the Services.
6.6. In the event that it is impossible to join the Zoom broadcast or view it directly,
including but not limited to via Google Drive, for technical or any other reasons (arising on
the part of the Consumer), no refund of the amount paid shall be made, and the Digital
Content shall be deemed to have been duly received and the services provided. - Liability of the Parties
7.1. The Consumer agrees and undertakes not to engage in any actions that may be
regarded as a breach of Ukrainian legislation or the norms of international law, including in
the field of intellectual property, copyright and/or related rights.
7.2. The Consumer is prohibited from offering for sale, using or altering information
posted in Zoom broadcasts, in any Telegram messenger, Instagram Direct, Viber,
WhatsApp, Facebook Messenger, group, channel, Telegram bots (including Digital
Content), for commercial or non-commercial purposes without the written consent of its
authors/rights holders and the E-commerce Entity, or to distribute the Digital Content
obtained in any other manner. The E-commerce Entity permits the Consumer to view and
download Digital Content solely for personal, non-commercial use, provided that all
copyright information and other proprietary notices contained in the source materials and
any copies thereof are retained.
7.3. Responsibility for money transfers made by the Consumer lies entirely with the
banking institutions and payment systems whose services the Consumer chooses to use.
7.4. The e-commerce operator shall not be liable for changes in external events and
processes in the Consumer’s life, or for the results of applying information obtained in the
course of providing information and advisory services.
7.5. The e-commerce operator shall not be liable for the performance of internet
service providers, processing centres, payment systems, telecommunications operators,
banking institutions, or Visa/MasterCard payment services, as a result of which the
necessary information or data was not received, was received late, was lost or damaged.
The Consumer shall submit any claims and disputes regarding payments and refunds to
the company of their own choosing. - Dispute Resolution
8.1. If the Consumer considers that their rights have been infringed, they shall submit
a written request to the E-commerce Entity to restore their rights.
8.2. The E-commerce Entity shall consider the Consumer’s complaint within the time
limits and in accordance with the procedure set out in the Laws of Ukraine “On Citizens’
Appeals” and “On the Protection of Consumer Rights”.
8.3. The consumer’s complaint must include the following details: the consumer’s
surname, first name and patronymic (if applicable), place of residence, telephone number
and/or postal address, and/or email address, and/or details of other means of contact; the
date of submission of the complaint and the consumer’s signature; the circumstances of
the dispute, their claims and the grounds for them.
8.4. If the e-commerce operator has refused to meet the consumer’s claims or the
consumer does not agree with the operator’s proposals for resolving the consumer dispute,
the consumer has the right to apply, in accordance with the procedure established by
Ukrainian law, to the competent authority responsible for protecting consumer rights in the
relevant field; a local government body; a body for the out-of-court settlement of consumer
disputes; a court. - Use of the Consumer’s personal data
9.1. Information provided by the Consumer in any form of service order or in personal
communication and/or correspondence with the e-commerce entity or its manager,
including but not limited to online via Zoom, any messaging app such as Telegram,
Instagram Direct, Viber, WhatsApp, Facebook Messenger, or in a group or channel,
constitutes their personal data. Personal data is confidential information; the collection and
subsequent processing of personal data is carried out by the e-commerce entity in
accordance with the Law of Ukraine ‘On the Protection of Personal Data’ and other
regulatory and legal acts of Ukraine. The source of personal data collection is information
provided directly and voluntarily by the Consumer.
9.2. When ordering the Services, the Consumer provides the business entity or its
representative, manager, with the following personal data, which is required to receive the
Digital Content:
1) surname, first name and patronymic (if applicable),
2) contact telephone number,
3) email address or Telegram username,
4) the organisation where the Consumer works,
5) city, country,
6) other information required by the business entity, as without it the entity will be
unable to conclude a distance contract and/or fulfil its obligations.
9.3. The Consumer’s refusal to provide the personal data requested by the ecommerce operator or its manager providing paid services constitutes the Consumer’s
refusal to conclude the contract.
9.4. The e-commerce operator shall not use the consumer’s personal data for any
other purposes beyond the scope of the public offer contract.
9.5. By agreeing to this Agreement, the Consumer voluntarily provides the Ecommerce Entity with the personal data specified in the Order form or in personal
correspondence for the processing of Orders for the provision of services, the issuance of
certificates, the receipt of advertising and special offers, information about promotions,
prize draws, and other information regarding the activities of the E-commerce Entity.
9.6. The Consumer grants the E-commerce Entity the right to process their personal
data, including: recording personal data in databases and tables (without additional notice),
storing data indefinitely, accumulating, updating and modifying it (where necessary).
9.7. The Consumer grants the E-commerce Entity the exclusive right to any use,
including the recording, storage, modification, distribution, public display and online
broadcasting of any Zoom broadcasts, group sessions, lectures, webinars, video lessons,
video instructions and parts thereof in which the Consumer participates, in electronic
(digital) form, including, but not limited to, on the Website, Google Drive, Telegram
channels, Instagram and Facebook pages, and Telegram groups under the commercial
name ‘Institute of Neurosomatic Approaches to Trauma and Dissociation Therapy’
9.8. The Consumer grants the E-commerce Entity the right to any use, distribution,
and public display of the Consumer’s reviews, comments, and text notes regarding the
digital information services provided for the supply of digital content and information and
advisory services, including, but not limited to, their use on the Website, on Telegram
channels, on web pages on Instagram, Facebook, and Telegram groups under the
commercial name ‘Institute of Neurosomatic Approaches to Trauma and Dissociation
Therapy’
9.9. The Consumer grants the E-commerce Entity the right to send them any
information of a commercial and/or informational nature, as well as information about other
consumer offers by post, email, telephone, SMS, Viber, Telegram messages, and to make
calls to the mobile telephone number specified in the order form or in personal
correspondence. - Other terms
10.1. All rules and conditions governing the performance of specific actions or
transactions, as published on the Website, in the relevant sections of groups and channels,
and on the Instagram and Facebook pages under the trade name ‘Institute of
Neurosomatic Approaches to Trauma and Dissociation Therapy’ / “Institute of
Neurosomatic Approaches to Trauma and Dissociation Therapy”, and are integral parts (as
Annexes) of this Agreement, defining the obligations of both Parties. In the event that the
terms set out in the text of this Agreement and the terms specified in its Annexes differ, the
Parties shall be guided by the terms set out in the Agreement.
10.2. By paying for the Order, the Customer confirms that they have read and agree
to all the terms set out in this Agreement and accept them unconditionally. All actions taken
by them shall not conflict with the terms of this Agreement.
10.3. The e-commerce operator reserves the right to amend the text of this
Agreement and/or the Annexes without prior notice. Amendments to the Agreement shall
take effect upon publication and shall apply to any Order placed after such publication.
10.4. The e-commerce operator and the Consumer shall communicate via email,
Zoom, Telegram, Instagram Direct, Viber, WhatsApp, Facebook Messenger, groups,
channels, telephone (including SMS, etc.), apps, notices and/or messages. The Consumer
agrees that all notifications, data or other information provided electronically shall be legally
binding and shall be deemed equivalent to documents drawn up in writing. - LEGAL DETAILS
